Plain-English summary

These Terms are a legally binding contract between you and ELD HUB LLC. They cover your subscription, how third-party providers (fuel, factoring, insurance, capital, freight, driver sourcing) fit into the platform, what ELD HUB is and isn't responsible for, and how disputes are resolved. Section 15 requires disputes to be resolved by individual, binding arbitration and waives your right to a jury trial and class actions. Please read carefully.

1. Acceptance of Terms

Welcome to ELD HUB. These Terms and Conditions ("Terms") govern your access to and use of the websites, mobile applications, APIs, dashboards, hardware, and services made available by ELD HUB LLC ("ELD HUB," "we," "us," or "our"), including any related content and functionality (collectively, the "Services"). By creating an account, clicking "I agree," installing our device, using our software, or otherwise accessing the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Authority

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. If you use the Services on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

3. Description of the Services

ELD HUB provides a subscription platform for small motor carriers and owner-operators that includes an FMCSA-registered Electronic Logging Device and unlocks access to connected services such as RFP Freight, freight factoring, fuel cards and fuel savings programs, capital and financing marketplaces, commercial insurance quoting, and CDL driver sourcing. Certain features are provided directly by ELD HUB, while others are provided by independent third-party providers under separate agreements between you and those providers ("Third-Party Services"). We may add, modify, suspend, or discontinue any portion of the Services at any time.

4. Accounts, Credentials, and Authorized Users

You agree to provide accurate, complete, and current information; to keep your login credentials confidential; and to promptly notify us of any unauthorized use. You are responsible for all activity that occurs under your account and for the acts and omissions of your drivers, employees, contractors, and any other authorized users.

5. Subscriptions, Fees, Billing, and Cancellation

  • Subscriptions are billed on a recurring basis (typically monthly, per truck) and automatically renew until cancelled.
  • You authorize ELD HUB and its payment processors to charge your chosen payment method for all fees, applicable taxes, hardware, shipping, and any usage-based charges.
  • Fees may change on prospective notice; continued use after the effective date constitutes acceptance.
  • Except where required by law, all fees are non-refundable, including partial-month charges. Failed payments may result in suspension or termination.
  • You may cancel at any time in accordance with our current cancellation process; cancellation stops future renewals but does not entitle you to a refund of amounts already paid.

6. Acceptable Use

You agree not to:

  • violate any law, regulation, or third-party right, including FMCSA, DOT, or state motor-carrier rules;
  • falsify Hours-of-Service, log entries, driver identity, or any compliance data;
  • tamper with, reverse engineer, decompile, or interfere with the Services or any hardware we provide;
  • use the Services to transmit unlawful, harassing, or infringing content, malware, or unsolicited communications; or
  • resell, sublicense, or provide the Services to third parties without our prior written consent.

7. Third-Party Services and Providers

Fuel cards, factoring, insurance, capital, freight brokerage/RFP, driver sourcing, and similar offerings are provided by independent third parties. Your use of those Third-Party Services is subject to their own terms, pricing, credit, and eligibility requirements. ELD HUB acts as a marketplace and facilitator, does not act as your broker, lender, insurer, factor, or motor carrier, and is not responsible for the acts, omissions, products, services, decisions, or data of any third-party provider.

8. Regulatory and Safety Responsibility

You are solely responsible for compliance with all federal, state, and local laws and regulations applicable to your operations, including FMCSA and DOT rules, Hours-of-Service, driver qualification, vehicle maintenance, cargo, insurance, taxes, and licensing. The Services are tools to help you comply; they do not replace your legal obligations, and we do not guarantee that use of the Services will result in compliance.

9. Intellectual Property

ELD HUB and its licensors own all rights, title, and interest in and to the Services, including all software, hardware designs, content, trademarks, and logos. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. All rights not expressly granted are reserved.

10. Your Content and Feedback

You retain ownership of the data and content you submit ("Your Content"). You grant ELD HUB a worldwide, royalty-free, sublicensable license to host, process, transmit, display, and use Your Content as reasonably necessary to provide, secure, support, and improve the Services, and to create de-identified and aggregated data. Any feedback, ideas, or suggestions you provide may be used by us without restriction or compensation.

11. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms using at least the same care it uses to protect its own confidential information, and no less than a reasonable standard of care, and will use such information only to exercise rights and perform obligations under these Terms.

12. Disclaimers

The Services and any hardware, data, and Third-Party Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or uninterrupted or error-free operation. ELD HUB does not warrant that the Services will meet your requirements, prevent violations, secure loads, guarantee savings, or achieve any specific result.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will ELD HUB or its officers, directors, employees, affiliates, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, freight, cargo, business opportunity, or downtime, arising out of or related to the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to ELD HUB for the Services in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain exclusions; in those jurisdictions liability is limited to the smallest amount permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless ELD HUB and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, judgments, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) Your Content; (c) your violation of these Terms or any law; (d) any FMCSA/DOT, safety, cargo, freight, or employment dispute; (e) your relationship with any third-party provider or shipper; or (f) your negligence or willful misconduct.

15. Dispute Resolution; Binding Arbitration; Class Waiver

Please read this section carefully. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, with the arbitration seated in Wilmington, Delaware and conducted in English. The arbitrator, and not any court, has exclusive authority to resolve any Dispute, including the scope, enforceability, and formation of this arbitration agreement.

Class action and jury waiver. You and ELD HUB each waive any right to a trial by jury and any right to bring or participate in a class, collective, consolidated, or representative action. Claims of different parties may not be joined.

Time to file. Any Dispute must be filed within one (1) year after the claim accrues, or it is permanently barred.

Exceptions. Either party may (i) bring an individual action in small-claims court and (ii) seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

16. Termination and Suspension

We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms, non-payment, risk to the Services or other users, or as required by law. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive will survive termination.

17. Force Majeure

ELD HUB is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, pandemics, government action, network or utility outages, or third-party failures.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in the Services). Changes become effective on the "Last Updated" date, and your continued use of the Services after that date constitutes acceptance.

19. Miscellaneous

These Terms, together with the Privacy Policy and any order form or supplemental terms, are the entire agreement between you and ELD HUB regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely. There are no third-party beneficiaries.

20. Electronic Communications and E-SIGN Consent

You consent to receive communications from us electronically, including notices, agreements, disclosures, and records, and agree that electronic delivery satisfies any legal requirement that such communications be in writing.
